Enquire About Compliance Monitoring

A compliant structure at the moment of incorporation may be non-compliant twelve months later if the regulatory environment has shifted and no one has updated the documentation or the filings. The past five years have seen UBO register expansions, DAC6 mandatory disclosure rules, Pillar Two minimum tax implementation across the EU, and the ongoing refinement of OECD substance standards. Each of these developments potentially triggers an obligation for an existing structure. Sparkgforge's ongoing compliance service assigns each client a named compliance contact who monitors the legislative environment across the client's jurisdictions, maps new developments against the client's specific structure, and issues a written alert when action is required. The alert specifies what has changed, what obligation it creates, what the deadline is, and what Sparkgforge recommends the client do. Where the required action falls within our scope, we implement it directly; where it requires local counsel, we coordinate.
The programme is structured around three layers of monitoring. The first is the compliance calendar: all known recurring obligations — annual returns, economic substance filings, UBO register renewals, directorship confirmations, and tax filings — are tracked and reminded thirty days before each deadline. The second is regulatory monitoring: our compliance team maintains a live watch on legislative publications from the jurisdictions in scope and issues alerts when material changes are enacted or proposed. The third is periodic structure review: every twelve months, the full structure is reviewed against current standards, the compliance memo is updated, and any adjustments required by regulatory change are identified. Clients who have received this service for three or more years consistently find that the cost of the programme is substantially less than the cost of responding to a single regulatory inquiry that could have been anticipated.

A comprehensive review of the full structure against current OECD, EU, and local standards — producing an updated compliance memo and a prioritised action list.
When Pillar Two was enacted in Slovenia in early 2024, our Sparkgforge compliance contact sent us a detailed written alert within three days, explaining exactly which of our entities fell within scope, what the minimum top-up tax exposure was, and what filing we needed to complete by when. No other adviser we work with caught it as quickly or as clearly.
